Ethical conduct: Suppliers shall conduct business with integrity, fairness and transparency, and comply with the highest business ethics standards and relevant Chinese laws and regulations.

信息安全：供應商必須高度重視信息安全，嚴格遵守中國《網絡安全法》、《數據安全法》、《個人信息保護法》及行業相關要求。

Information security: Suppliers must attach great importance to information security and strictly comply with China's Cybersecurity Law, Data Security Law, Personal Information Protection Law and relevant industry requirements.

管理體系：供應商應建立并維護有效的管理體系，以支持本準則各項要求的持續實施和改進。

Management systems: Suppliers shall establish and maintain effective management systems to support the continuous implementation and improvement of the requirements of this Code.

監督與執行：供應商應對本準則進行定期自我評估，并接受我司的相關審核；如供應商違反本準則，則需接受并采取相應的糾正措施。

Monitoring and enforcement: Suppliers shall conduct periodic self-assessments against this Code and accept related audits by our Company; in the event of a breach, suppliers must accept and take corresponding corrective measures.

序言
Preamble

本行為準則旨在明確我們對供應鏈合作伙伴在商業道德、社會責任和環境保護方面的要求。我們致力于與供應商建立長期、穩定、互信的合作關系，共同推動行業的可持續發展，為建設智慧能源社會貢獻力量。所有為江蘇林洋能源股份有限公司（以下簡稱“我司”）提供產品、服務或材料的供應商（以下簡稱“供應商”）都必須遵守本準則。

This Code of Conduct sets out our requirements for supply chain partners in terms of business ethics, social responsibility and environmental protection. We are committed to building long-term, stable and mutually trusting cooperative relationships with suppliers, jointly promoting the sustainable development of the industry and contributing to a smart energy society. All suppliers providing products, services or materials to Jiangsu Linyang Energy Co., Ltd. (hereinafter "our Company") (hereinafter "Suppliers") must comply with this Code.

1 雇傭實踐
1 Employment Practices

供應商必須尊重所有員工的合法權益，提供公平、安全、非歧視性的工作環境，并嚴格遵守中國相關法律法規（如《中華人民共和國勞動法》、《中華人民共和國勞動合同法》、《中華人民共和國婦女權益保障法》、《中華人民共和國未成年人保護法》、《中華人民共和國殘疾人保障法》等）。

Suppliers must respect the legitimate rights and interests of all employees, provide a fair, safe and non-discriminatory working environment, and strictly comply with relevant Chinese laws and regulations (such as the Labor Law, the Labor Contract Law, the Law on the Protection of Women's Rights and Interests, the Law on the Protection of Minors, and the Law on the Protection of Persons with Disabilities of the People's Republic of China).

1.1. 禁止強迫勞動 嚴禁任何形式的強迫勞動、抵債勞動、契約勞動或非自愿的監獄勞動。員工應享有自由流動的權利。

1.1 Prohibition of Forced Labor: Any form of forced labor, bonded labor, indentured labor or involuntary prison labor is strictly prohibited. Employees shall enjoy the right to freedom of movement.

1.2. 禁止童工 不得雇傭任何未滿16周歲的童工（符合中國法律規定的最低就業年齡）。對于16-18周歲的未成年工，必須嚴格遵守國家關于未成年工特殊保護的規定，限制其從事有害工種和加班，并提供必要的健康檢查。

1.2 Prohibition of Child Labor: No child labor under the age of 16 (the minimum working age under Chinese law) shall be employed. For juvenile workers aged 16 to 18, the national provisions on special protection of juvenile workers must be strictly observed, restricting them from hazardous work and overtime and providing necessary health examinations.

1.3. 禁止歧視 在招聘、薪酬、培訓、晉升、解雇或退休等所有雇傭環節中，禁止基于種族、膚色、年齡、性別、性取向、性別認同、婚姻狀況、生育情況、國籍、民族、宗教、殘疾、政治派別、工會成員身份或任何其他受法律保護的特征進行歧視。

1.3 Prohibition of Discrimination: In all employment processes including recruitment, compensation, training, promotion, dismissal and retirement, discrimination based on race, color, age, gender, sexual orientation, gender identity, marital status, reproductive status, nationality, ethnicity, religion, disability, political affiliation, trade union membership or any other legally protected characteristic is prohibited.

1.4 公平薪酬與工作時間
1.4 Fair Compensation and Working Hours

1.4.1支付的工資應至少滿足當地法定最低工資標準，并能滿足員工基本生活需要。

1.4.1 Wages paid shall at least meet the local statutory minimum wage standard and be sufficient to meet employees' basic living needs.

1.4.2加班工資應嚴格按照國家規定支付（通常為正常工資的150%、200%或300%）。

1.4.2 Overtime pay shall be paid strictly in accordance with national regulations (normally 150%, 200% or 300% of normal wages).

1.4.3工作時間應符合國家關于標準工時、加班限制及休息休假的規定（如每周至少休息一天、法定節假日休假、帶薪年休假等）。

1.4.3 Working hours shall comply with national regulations on standard working hours, overtime limits, rest and leave (such as at least one rest day per week, statutory holidays and paid annual leave).

1.4.4工資應按時、足額以法定貨幣支付給員工本人，并提供清晰易懂的工資條。

1.4.4 Wages shall be paid to employees themselves in legal currency on time and in full, with clear and understandable payslips provided.

1.5人道待遇： 尊重員工的人格尊嚴和人身權利。禁止任何形式的騷擾、虐待、體罰、精神或身體脅迫、威脅或侮辱性行為。

1.5 Humane Treatment: Respect employees' personal dignity and personal rights. Any form of harassment, abuse, corporal punishment, mental or physical coercion, threats or humiliating conduct is prohibited.

1.6.結社自由與集體談判： 尊重員工依法自由結社、參加工會以及進行集體談判的權利。供應商不得因員工合法行使這些權利而進行報復或歧視。

1.6 Freedom of Association and Collective Bargaining: Respect employees' rights to freely associate, join trade unions and engage in collective bargaining in accordance with law. Suppliers shall not retaliate against or discriminate against employees for lawfully exercising these rights.

2 健康與安全
2 Health and Safety

供應商必須為所有員工提供安全、健康的工作場所，并遵守中國《安全生產法》、《職業病防治法》及相關行業安全衛生標準（如GB/T 45001等）。

Suppliers must provide all employees with a safe and healthy workplace and comply with China's Work Safety Law, Law on the Prevention and Control of Occupational Diseases and relevant industry safety and health standards (such as GB/T 45001).

2.1 工作場所安全： 識別、評估并控制工作場所的物理、化學、生物、人機工效等潛在風險。提供必要的安全防護設備（PPE），并確保員工接受正確使用培訓。保持工作場所清潔、有序和良好的通風照明。

2.1 Workplace Safety: Identify, assess and control potential physical, chemical, biological and ergonomic risks in the workplace. Provide necessary personal protective equipment (PPE) and ensure employees receive training on its proper use. Keep the workplace clean, orderly and well ventilated and lit.

2.2 事故預防與應急準備： 建立并實施有效的安全操作規程、事故預防程序和應急預案（包括火災、化學品泄漏、自然災害等）。定期進行安全檢查和應急演練。

2.2 Accident Prevention and Emergency Preparedness: Establish and implement effective safety operating procedures, accident prevention procedures and emergency response plans (covering fire, chemical spills and natural disasters). Conduct regular safety inspections and emergency drills.

2.3職業健康： 識別和控制可能導致職業病的有害因素（如粉塵、噪音、有毒化學品、輻射等）。為員工提供必要的職業健康檢查（崗前、在崗、離崗），并建立健康監護檔案。

2.3 Occupational Health: Identify and control hazardous factors that may cause occupational diseases (such as dust, noise, toxic chemicals and radiation). Provide employees with necessary occupational health examinations (pre-employment, in-service and upon leaving) and establish health surveillance records.

2.4工傷與疾病管理： 依法報告工傷事故和職業病，為受傷或患病的員工提供及時有效的醫療救助和賠償。

2.4 Injury and Illness Management: Report work injuries and occupational diseases in accordance with law, and provide timely and effective medical assistance and compensation to injured or ill employees.

2.5住宿與衛生設施： 如果供應商為員工提供住宿，應確保宿舍安全、清潔、通風，符合相關衛生標準，并提供充足的衛生設施和清潔的飲用水。

2.5 Dormitories and Sanitation Facilities: Where suppliers provide accommodation for employees, dormitories shall be safe, clean and ventilated and meet relevant hygiene standards, with adequate sanitation facilities and clean drinking water provided.

3 環境實踐
3 Environmental Practices

供應商應致力于環境保護和資源的可持續利用，遵守中國《環境保護法》、《大氣污染防治法》、《水污染防治法》、《固體廢物污染環境防治法》等相關法律法規及國家、地方的排放標準。

Suppliers shall be committed to environmental protection and sustainable use of resources, and comply with China's Environmental Protection Law, Atmospheric Pollution Prevention and Control Law, Water Pollution Prevention and Control Law, Law on the Prevention and Control of Environmental Pollution by Solid Waste and other relevant laws and regulations, as well as national and local emission standards.

3.1環境許可與報告： 依法取得所有必要的環境許可、執照和批準文件，并按時提交合規報告。

3.1 Environmental Permits and Reporting: Obtain all necessary environmental permits, licenses and approvals in accordance with law, and submit compliance reports on time.

3.2污染防治與資源節約：
3.2 Pollution Prevention and Resource Conservation:

節能減排： 積極采取措施減少能源消耗和溫室氣體排放。優先采用清潔能源和節能技術。

Energy saving and emission reduction: Actively take measures to reduce energy consumption and greenhouse gas emissions, prioritizing clean energy and energy-saving technologies.

水資源管理： 節約用水，減少廢水產生。確保廢水在排放前經過有效處理，達到國家和地方排放標準。

Water resource management: Conserve water and reduce wastewater generation; ensure wastewater is effectively treated before discharge to meet national and local discharge standards.

廢氣管理： 控制生產過程中的大氣污染物排放（如VOCs、粉塵等），確保達標排放。

Air emission management: Control emissions of atmospheric pollutants from production processes (such as VOCs and dust) to ensure compliance with standards.

固體廢物管理： 實施“減量化、資源化、無害化”原則。對廢棄物（特別是有害廢物HW）進行分類、標識、安全儲存、合規處置或交由有資質的單位處理。嚴格遵守《國家危險廢物名錄》及相關管理規定。

Solid waste management: Apply the principles of "reduction, resource recovery and harmlessness". Classify, label, safely store and lawfully dispose of waste (especially hazardous waste, HW), or entrust qualified entities for treatment; strictly comply with the National Catalogue of Hazardous Wastes and related regulations.

化學品管理： 安全儲存、使用、處理和處置化學品，防止泄漏和污染。遵守《危險化學品安全管理條例》。

Chemical management: Safely store, use, handle and dispose of chemicals to prevent leakage and contamination; comply with the Regulations on the Safety Management of Hazardous Chemicals.

3.3 產品環保要求： 提供的產品、材料和服務應滿足相關的環保法規要求（如RoHS、REACH、中國RoHS等有害物質限制要求）。鼓勵采用環保材料和設計。

3.3 Product Environmental Requirements: Products, materials and services provided shall meet relevant environmental regulatory requirements (such as RoHS, REACH and China RoHS hazardous substance restrictions). The use of environmentally friendly materials and designs is encouraged.

3.4 生物多樣性與自然資源： 在運營中盡量減少對生態系統和生物多樣性的負面影響。遵守關于森林、水資源等自然資源保護的法律法規。

3.4 Biodiversity and Natural Resources: Minimize negative impacts on ecosystems and biodiversity in operations; comply with laws and regulations on the protection of forests, water and other natural resources.

4 道德行為
4 Ethical Conduct

供應商應以誠信、公平和透明的方式開展業務，遵守最高商業道德標準和中國相關法律法規（如《反不正當競爭法》、《反壟斷法》等）。

Suppliers shall conduct business with integrity, fairness and transparency, and comply with the highest business ethics standards and relevant Chinese laws and regulations (such as the Anti-Unfair Competition Law and the Anti-Monopoly Law).

4.1誠信經營：
4.1 Integrity in Business:

禁止賄賂與腐敗： 嚴禁向政府官員、客戶（包括我方員工）或其他商業伙伴提供、承諾、給予或索取任何形式的賄賂、回扣、不正當利益或其他非法報酬。嚴格遵守中國《反不正當競爭法》及《刑法》關于賄賂犯罪的規定。

Prohibition of bribery and corruption: It is strictly prohibited to offer, promise, give or solicit any form of bribe, kickback, improper benefit or other illegal payment to government officials, customers (including our employees) or other business partners. Strictly comply with the Anti-Unfair Competition Law and the Criminal Law provisions on bribery offenses.

公平交易： 禁止參與價格操縱、串通投標、市場分割或其他反競爭行為。

Fair dealing: Participation in price manipulation, bid rigging, market allocation or other anti-competitive conduct is prohibited.

信息披露： 確保向我司提供的信息（如資質、質量、合規狀況等）準確、真實、完整。

Information disclosure: Ensure that information provided to our Company (such as qualifications, quality and compliance status) is accurate, truthful and complete.

4.2 利益沖突： 避免可能導致或實際存在的利益沖突。供應商員工不得利用職權為其個人或其親友謀取不正當利益。

4.2 Conflicts of Interest: Avoid potential or actual conflicts of interest. Supplier employees shall not use their position to obtain improper benefits for themselves, their relatives or friends.

4.3知識產權保護： 尊重并保護知識產權（包括專利、商標、版權、商業秘密等）。禁止非法使用或泄露我司或第三方的知識產權。

4.3 Intellectual Property Protection: Respect and protect intellectual property rights (including patents, trademarks, copyrights and trade secrets). Illegal use or disclosure of our Company's or third parties' intellectual property is prohibited.

4.4 保密義務： 對在業務往來中獲知的我司的商業秘密、技術信息和客戶信息等承擔保密義務。

4.4 Confidentiality Obligations: Maintain confidentiality regarding our Company's trade secrets, technical information and customer information learned in the course of business.

4.5 負責任的礦產采購： 承諾供應鏈中使用的關鍵礦物（如錫、鎢、鉭、金、鈷等）不直接或間接資助武裝沖突或涉及嚴重人權侵犯。鼓勵使用通過負責任礦產倡議（RMI）等認可機制認證的材料。

4.5 Responsible Mineral Sourcing: Commit that key minerals used in the supply chain (such as tin, tungsten, tantalum, gold and cobalt) do not directly or indirectly finance armed conflict or involve serious human rights abuses. Materials certified under recognized mechanisms such as the Responsible Minerals Initiative (RMI) are encouraged.

4.6 公平營銷與廣告： 進行的所有營銷和廣告活動應真實、準確，并遵守相關法律法規。

4.6 Fair Marketing and Advertising: All marketing and advertising activities shall be truthful, accurate and compliant with relevant laws and regulations.

5 信息安全
5 Information Security

鑒于智能電表涉及關鍵能源基礎設施和相關數據，供應商必須高度重視信息安全，嚴格遵守中國《網絡安全法》、《數據安全法》、《個人信息保護法》及行業相關要求。

As smart meters involve critical energy infrastructure and related data, suppliers must attach great importance to information security and strictly comply with China's Cybersecurity Law, Data Security Law, Personal Information Protection Law and relevant industry requirements.

5.1 保護敏感信息： 對從我司接收或處理的所有非公開信息（包括但不限于商業機密、技術數據、設計圖紙、客戶信息、個人信息、運營數據）實施嚴格的物理和電子保護措施，防止未經授權的訪問、使用、披露、修改、破壞或丟失。

5.1 Protection of Sensitive Information: Implement strict physical and electronic protection measures for all non-public information received from or processed for our Company (including but not limited to trade secrets, technical data, design drawings, customer information, personal information and operational data) to prevent unauthorized access, use, disclosure, modification, destruction or loss.

5.2訪問控制： 實施基于“最小權限原則”的訪問控制機制，確保只有授權人員才能訪問所需信息。

5.2 Access Control: Implement access control mechanisms based on the principle of least privilege, ensuring that only authorized personnel can access the information they need.

5.3 數據安全： 對存儲和傳輸的數據進行加密保護（特別是在傳輸過程中）。在中國境內收集和產生的個人信息和重要數據，其存儲和處理原則上應在境內進行。確需出境的，必須依法進行安全評估并獲得批準。

5.3 Data Security: Encrypt data at rest and in transit (particularly during transmission). Personal information and important data collected and generated within China shall in principle be stored and processed domestically. Where cross-border transfer is genuinely required, a security assessment must be conducted and approval obtained in accordance with law.

5.4 產品安全： 確保提供的產品、軟件和服務在設計、開發、生產和交付過程中遵循安全開發生命周期（SDL），具備必要的安全功能（如安全啟動、固件簽名、安全通信、訪問控制等），并持續進行安全漏洞管理和修復。

5.4 Product Security: Ensure that products, software and services provided follow a secure development lifecycle (SDL) throughout design, development, production and delivery, incorporate necessary security functions (such as secure boot, firmware signing, secure communication and access control), and maintain ongoing vulnerability management and remediation.

5.5 事件響應與報告： 建立信息安全事件檢測、響應和報告機制。一旦發生或疑似發生涉及我司信息或產品的安全事件（如數據泄露、網絡攻擊），必須立即通知我司指定的聯系人。

5.5 Incident Response and Reporting: Establish mechanisms for detecting, responding to and reporting information security incidents. Upon the occurrence or suspected occurrence of any security incident involving our Company's information or products (such as data breaches or cyber attacks), the designated contact of our Company must be notified immediately.

5.6 供應鏈安全： 對其自身的次級供應商施加同等的信息安全要求，確保供應鏈整體安全可控。

5.6 Supply Chain Security: Impose equivalent information security requirements on their own sub-tier suppliers to ensure the overall security and controllability of the supply chain.

6 管理體系

供應商應建立并維護有效的管理體系，以支持本準則各項要求的持續實施和改進。

Suppliers shall establish and maintain effective management systems to support the continuous implementation and improvement of the requirements of this Code.

6.1 責任與承諾： 最高管理層應明確承諾遵守本準則，并提供必要的資源保障。

6.1 Responsibility and Commitment: Top management shall make an explicit commitment to comply with this Code and provide the necessary resources.

6.2 風險評估與盡職調查： 定期進行合規風險評估，并對自身及關鍵次級供應商進行盡職調查，以識別和管理潛在風險（如勞工、環境、安全、道德、信息安全風險）。

6.2 Risk Assessment and Due Diligence: Conduct periodic compliance risk assessments and due diligence on itself and key sub-tier suppliers to identify and manage potential risks (such as labor, environmental, safety, ethical and information security risks).

6.3 政策與程序： 制定、實施并傳達支持本準則的內部政策和操作程序。

6.3 Policies and Procedures: Formulate, implement and communicate internal policies and operating procedures that support this Code.

6.4 培訓與溝通： 向所有管理層和員工（包括臨時工）提供關于本準則及其相關政策和程序的定期培訓。建立暢通的溝通渠道（如舉報熱線），鼓勵員工在保密且免遭報復的前提下報告違規行為或疑慮。

6.4 Training and Communication: Provide regular training on this Code and related policies and procedures to all management and employees (including temporary workers). Establish accessible communication channels (such as a whistleblowing hotline) and encourage employees to report violations or concerns confidentially and free from retaliation.

6.5 記錄保存： 保留足以證明遵守本準則和相關法律法規的必要記錄（如工時工資記錄、安全培訓記錄、環境監測報告、許可文件等）。

6.5 Record Keeping: Retain records necessary to demonstrate compliance with this Code and relevant laws and regulations (such as working hours and wage records, safety training records, environmental monitoring reports and permit documents).

7 監督與執行
7 Monitoring and Enforcement
